WHEREAS, the City is the local franchising authority for cable systems operating within its geographical borders; and

WHEREAS, the City entered into cable franchise renewal agreements with Comcast Cable Communications Management, LLC ("Comcast") on January 18, 2022 and with Verizon Pennsylvania, LLC ("Verizon" on September 19, 2023; and

WHEREAS, the City's cable franchise agreements with Verizon and Comcast (hereinafter referred to as the "Franchise Agreements") both provide for up to three (3) Public Access and Governmental (hereinafter referred to as "PEG") Channels for community programming related to public and/or governmental activities and, in addition, provide for certain resources to support such PEG Channels; and

WHEREAS, the City's Franchise Agreements with Verizon and Comcast provides that the City has complete control over the PEG Channels, but that the City may delegate certain PEG Channel functions to an appropriate designee; and

WHEREAS, PCTV was organized in 1986 as a not-for-profit organization to manage the Public Access Channel(s) and studio(s), to program, produce and schedule such Channel(s), and to provide training and outreach for citizens to produce public access programming; and

WHEREAS, the City entered into an Agreement for Services for PEG Channel Administration ("Agreement") dated February 10, 2011 and such Agreement is expired; and

WHEREAS, City desires to renew PCTV's Agreement to manage the City's Public Access Channel(s),
