Resolution approving an amendment to the Articles of Incorporation of the Pittsburgh Water and Sewer Authority (the "Authority") to establish the size of the Board of the Authority at a number not less than five and not more than nine.

Whereas, The Pittsburgh Water and Sewer Authority (the “Authority”) is a body corporate and politic organized under the laws of the Commonwealth of Pennsylvania pursuant to the Municipality Authorities Act, 53 Pa.C.S.A. §5601, et seq., as amended (the “Act”), having been duly organized by the City of Pittsburgh, Pennsylvania (the “City”); and
Whereas, the Authority filed Articles of Incorporation with the Commonwealth of Pennsylvania on February 17, 1984, which have been amended by Articles of Amendment filed on December 11, 1989, on May 9, 2008 and on March 19, 2020; and
Whereas, the Board of the Authority on March 26, 2021 adopted a Resolution proposing to amend its Articles of Incorporation to establish a limitation on the size of the Board of the Authority.
Be it resolved by the Council of the City of Pittsburgh as follows:
Section 1. Pursuant to the provisions of the Act, Council hereby adopts an amendment to the Articles of Incorporation of the Authority by adding a Section thereto to read as follows:
"The Board of the Authority shall consist of a number of Members not less than five (5) and not more than nine (9)."
Section 2. The Mayor, the City Solicitor and the City Clerk are hereby authorized and directed to take any further steps required to effectuate this amendment to the Authority’s Articles of Incorporation.
Section 3. Any Resolution or Ordinance or part thereof conflicting with the provisions of this Resolution is hereby repealed so far as the same affects this Resolution. This Resolution shall take effect immediately.
