Resolution authorizing the Director of the Department of Finance to enter into a License Agreement with Giant Eagle, Inc., to allow the performance of pre-development due diligence investigations and site inspections on designated City property in order to facilitate the construction of a GetGo caf? and market in the Homewood and Larimer community.

WHEREAS, the City is currently the owner of certain real estate designated as Lot and Block Nos. 125-G-51, 125-G-43, 125-G-64, and 125-G-42, located in the 12th Ward of the City of Pittsburgh (collectively, the "Project Site"); and
WHEREAS, Giant Eagle, Inc. ("Giant Eagle") seeks to redevelop the Project Site, along with several nearby parcels, as a GetGo caf? and market, with a fuel component, as a way to provide fresh food and produce to Homewood, Larimer, and other surrounding neighborhoods, where grocery stores providing fresh food are scarce (the "Project"); and
WHEREAS, City Council has previously authorized the City to transfer the Project Site parcels to the Urban Redevelopment Authority of Pittsburgh (the "URA") for subsequent transfer to Giant Eagle; and
WHEREAS, the City is in the process of effecting these transfers to the URA; and
WHEREAS, in order to ensure the Project meets its schedule, certain due diligence investigations and site inspections, involving a geotechnical study, a survey, traffic studies, a Phase I environmental investigation, and potentially a Phase II environmental investigations, as necessary (the "Due Diligence Investigations"), are required to be performed on the Project Site in order to begin preparing for construction of the Project, and Giant Eagle has requested a license to access the Project Site to perform such Due Diligence Investigations; and
WHEREAS, in order to facilitate the Project, the City is willing to provide a license to access the Project Site to Giant Eagle, subject to the terms and conditions set forth therein; and
