Resolution authorizing the Mayor and the Director of the Department of Innovation and Performance to enter into a Third Amendment to Cooperation and Project Agreement for the Creation and Operation of the Regional Data Center Agreement with Allegheny County and the University of Pittsburgh.

WHEREAS, the City and County ("Governmental Parties"), utilizing funds granted by the Richard King Mellon Foundation (the "RK Mellon Grant"), entered into that certain agreement with the University dated August 7, 2015, entitled "Cooperation and Project Agreement for the Creation and Operation of the Regional Data Center," (the "Agreement") under which the Governmental Parties engaged the University to develop and operate the Western Pennsylvania Regional Data Center (the "WPRDC") for a three year period to serve as a central open data portal able to host data from the Governmental Parties and eventually from other participating local governments and other entities; and
WHEREAS, the Parties executed an Amendment to the Agreement (the "First Amendment"), dated October 28, 2016 to reflect the receipt of a grant from the Heinz Endowments (the "Heinz Grant") to be used for several purposes, including the provision of additional funds to the University for extra staffing to bring the WPRDC to full efficiency; and
WHEREAS, the Parties executed a Second Amendment to the Agreement (the "Second Amendment"), dated August 8, 2018, to reflect a desire to extend the agreement beyond the Initial Term, which was effective between August 7, 2015 and August 7, 2018, for an Additional Term beginning August 8, 2018 ending December 31, 2021; and
WHEREAS, in order to increase the amount of compensation and scope of work relating to the University of Pittsburgh's continued operation of the Regional Data Center in the Agreement, as amended, the Parties now wish to enter into a further Amendment to the existing Agreement (the "Third Amendment") for the City and County to each provide ...
