Resolution authorizing the Mayor and the Director of the Department of Public Works to enter into a Cooperation and License Agreement with Summerset Neighborhood Association to set forth the ownership and maintenance obligations of both entities relating to the public and private improvements thus far completed in the Summerset at Frick Park development and adjacent portions of Frick Park.

WITNESSETH:
WHEREAS, in 2002, the City and the Urban Redevelopment Authority (“URA”) entered into a Cooperation Agreement (dated July 26, 2002) to set forth their understanding with respect to the process of transferring to the City: 1) certain non-residential land to become part of Frick Park and 2) certain public improvements in connection with Phase IA of the then-new planned residential community called Summerset at Frick Park (“Summerset”); and

WHEREAS, pursuant to the terms of said Cooperation Agreement, after the aforementioned transfers had occurred, it was contemplated that the City and Summerset Land Development Associates (“SLDA”), developer of Summerset, would enter into a separate comprehensive agreement detailing maintenance obligations of each party regarding the Summerset development; and

WHEREAS, the contemplated conveyances of the non-residential land and public improvements to the City from the URA are underway and remaining transfers are slated to occur imminently; and

WHEREAS, Phases 1A, 1B, and 2A of the Summerset development have been completed and future phases are pending; and

WHEREAS, via the Summerset Declaration, various maintenance responsibilities shall be transferred from SLDA to the Association; and

WHEREAS, the City and Association (as successor to SLDA) now wish to set forth their understanding of the ownership and maintenance obligations of both entities relating to the public and private improvements thus far completed in Summerset.
