Title
Resolution authorizing the assignment of the City's current lease with the Pittsburgh Center for the Arts to the entity created by the merger of the Pittsburgh Center for the Arts and Pittsburgh Filmmakers.
Body
WHEREAS, the City and the Pittsburgh Center for the Arts have entered into a multi-year lease (the "Lease") for the buildings collectively known as the Marshall Residence, the Scaife Residence, and the Marshall Garage; and
WHEREAS, the Pittsburgh Center for the Arts is merging with Pittsburgh Filmmakers and would like the new merged entity to take over the Lease; and
WHEREAS, Section 22.11 of the Lease permits an assignment with prior written consent of the City.
Be it resolved by the Council of the City of Pittsburgh as follows:
Section 1. City Council hereby authorizes the assignment of the City's current Lease with the Pittsburgh Center for the Arts to the entity created by the merger of the Pittsburgh Center for the Arts and Pittsburgh Filmmakers. The assignment shall be formalized via a written amendment to the Lease. Such amendment to the Lease shall be approved by the City Solicitor as to form and substance.
Section 2. Any Resolution or Ordinance of part thereof conflicting with the provisions of this Resolution is hereby repealed so far as the same affects this Resolution.
