Title

Resolution designating City property to be used as the site for the erection of the Allegheny County World War II Memorial and authorizing a license and Cooperation Agreement by and between the City of Pittsburgh and the World War II Veterans of Allegheny County Memorial Fund, Inc. In connection with the installation, donation, and transfer of the Allegheny County World War II Memorial and thereafter authorizing a separate Perpetual Care and Maintenance Agreement for the memorial.

 

Body

Whereas,  the City of Pittsburgh (the “City”) owns property located on the North Shore of the Allegheny River between the Clemente (Sixth Street) Bridge and the Warhol (Seventh Street) Bridge (the “Site”); and

 

Whereas, City Council of the City of Pittsburgh wishes to designate the Site as the location for the erection of a memorial in commemoration of the veterans of World War II from Allegheny County, and of the citizens of Allegheny County who assisted with the war effort; and

 

Whereas, The World War II Veterans of Allegheny County Memorial Fund (the “Fund”) desires to erect this memorial on the Site, to be known as the Allegheny County World War II Memorial (the “Memorial”) and to donate the Memorial to the City; and

 

Whereas, the City and the Fund wish to enter into a License and Cooperation Agreement at this time to set forth the duties and responsibilities of the parties pertaining to the installation, donation, and transfer of the Memorial to the City; and

 

Whereas, after the Memorial is transferred to the City and monies to be used for perpetual care and maintenance are forwarded by Fund to a designated Trustee, the City and the Fund (or its successor) and such designated Trustee will enter into a separate Agreement or Agreements providing for the perpetual care and maintenance thereof.

 

Be it resolved by the Council of the City of Pittsburgh as follows:

 

Section 1.  City property located on the North Shore of the Allegheny River between the Clemente (Sixth Street) Bridge and the Warhol (Seventh Street) Bridge as further described on Exhibit A hereto is hereby designated as the Site for the Allegheny County World War II Memorial.

 

Section 2.  The Mayor and the Directors of the Department of Public Works and the Department of Parks and Recreation are hereby authorized to enter into a License and Cooperation Agreement or Agreements providing a license to the World War II Veterans of Allegheny County Memorial Fund to install and erect the Allegheny County World War II Memorial on the Site, accepting the donation of the Memorial from the Fund to the City, and setting forth the future intention of the parties regarding the perpetual care and maintenance of the Memorial after installation and transfer to the City.  The form and substance of the Agreement or Agreements shall be approved by the City Solicitor.

 

 

Section 3.  Upon the completion of the transfer of the Memorial to the City and the transfer of monies from the World War II Veterans of Allegheny County Memorial Fund to a designated Trustee of said monies, the Mayor and the Directors of the Department of Public Works and the Department of Parks and Recreation are hereby authorized to enter into a separate Agreement or Agreements with the World War II Veterans of Allegheny County Memorial Fund (or its successor) and The Pittsburgh Foundation (or alternate designated Trustee) to set forth the understanding of the parties relating to the perpetual care and maintenance of the Memorial. The form and substance of the Agreement or Agreements shall be approved by the City Solicitor.

EXHIBIT A:  SITE DESCRIPTION

 

That portion of City property lying between the Clemente and 7th Street Bridge of approximately one acre, bounded on the West: by the Clemente Bridge piers and landside structures; on the North: just below the terrace that is at grade with the entrance to the park from Sixth Street; on the East: an axis drawn in as the side of an ellipse so as to visually connect two pieces of an existing, 2-piece sculpture; and on the South: the North Shore Riverfront Trail on the quay along the north shore of the Allegheny River.
