Resolution of the city of Pittsburgh adopting an amendment to the Steel Valley Authority's Articles of Incorporation to decrease the number of members of the Board of Directors of the Authority

WHEREAS the Steel Valley Authority filed its original Articles of Incorporation with the Secretary of the Commonwealth in 1986; and
WHEREAS the Authority was formed under the Pennsylvania Municipality Authorities Act, and among its powers are the retention and development of existing industries as well as the development of new industries; and
WHEREAS the Authority is a joint municipal authority that currently has 12 member municipalities, with each municipality appointing 3 members to the Authority's Board of Directors; and
WHEREAS the City of Pittsburgh is a member municipality of the Steel Valley Authority; and
WHEREAS the Pennsylvania Municipality Authorities Act allows for the amendment of articles of incorporation of authorities formed under it for certain enumerated reasons, including amending the articles to decrease the number of members of the board of the authority; and
WHEREAS the Authority believes that it can better conduct its business with a board of directors that consists of 2 members per municipality rather than 3; and
WHEREAS the Authority's Board of Directors duly passed a resolution at its May 19, 2021 meeting which proposed an amendment of its Articles of Incorporation to decrease the number of members of its Board of Directors from 3 per municipality to 2;
Be it resolved by the Council of the City of Pittsburgh as follows:
Section 1. NOW, THEREFORE, BE IT RESOLVED that the City of Pittsburgh acknowledges receipt of the Authority's resolution proposing to amend its Articles of Incorporation to decrease the number of members of its Board of Directors from 3 per municipality to 2; and
