Title
Resolution authorizing the Mayor and the Director of the Office of Management and Budget to enter into a Grant Agreement with the Commonwealth, Department of Community and Economic Development to receive funding in the amount of One Million, Five Hundred and Ninety Thousand Dollars ($1,590,000.00) to be used for the design and construction of the new Frick Environmental Center and further authorizing the Mayor and the Director of the Office of Management and Budget to enter into a Cooperation Agreement with the Pittsburgh Parks Conservancy to permit it to use these grant fund for this purpose.  
 
Body
WHEREAS, the City and the Pittsburgh Parks Conservancy ("PPC") have entered into a License and Cooperation Agreement (dated December 18, 2013) (the "License Agreement") for the construction, maintenance, and operation of the Frick Environmental Center ("FEC"), located within Frick Park in the City of Pittsburgh; and
 
WHEREAS, on behalf of the PPC, the City has agreed to serve as the municipal sponsor for grant funds from the Commonwealth of Pennsylvania (DCED), through its Commonwealth Financing Authority ("CFA"), which funds will be used by the PPC for the design and  construction of the FEC; and
 
WHEREAS, the PPC has specifically requested to use the grant funding to construct the FEC as a USBBC LEED Platinum high performance building (the "ACE Project"); and
 
WHEREAS, in order to receive the funding, the City is seeking authorization to enter into a grant agreement (hereinafter the "Grant Agreement") with the Commonwealth (DCED) (the "Grantor"), to receive One Million, Five Hundred Ninety Thousand Dollars ($1,590,000.00) in CFA funds (the "Grant Monies") to be used by the PPC for the ACE Project; and
 
WHEREAS, in accordance with its obligations under the License Agreement, the PPC has agreed to undertake all responsibilities of the City in connection with the Grant Agreement; and
 
WHEREAS, therefore, the City is also now seeking authorization to enter into a Cooperation Agreement with the PPC to document its responsibilities with respect to its receipt and use of the Grant Monies for the Ace Project on a reimbursement basis.  
 
Now Therefore, Be It Resolved By The Council Of The City Of Pittsburgh As Follows:
 
Section 1.
 
The Mayor and the Director of the Office of Management and Budget are hereby authorized to enter into a Grant Agreement with the Commonwealth of Pennsylvania (DCED) to receive funding in the amount of One Million, Five Hundred and Ninety Thousand Dollars ($1,590,000.00) to be used for the design and construction of the new Frick Environmental Center.  Amounts received by the City for this purpose will be deposited into account: 0729400147.45505.00.
 
Section 2.
 
The Mayor and the Director of the Office of Management and Budget are further authorized to enter into a Cooperation Agreement with the PPC regarding the PPC's use of the $1,590,000 in Grant Monies for the renovation of the Frick Environmental Center in accordance with the terms of the Grant Agreement.  The City's obligation to provide funds to the PPC under this Cooperation Agreement is wholly contingent upon the City's prior receive of the Grant Funds from the Commonwealth.  PPC Invoices will be submitted to the Office of Management and Budget according to Grant Agreement requirements and amounts paid to the PPC will be paid on a reimbursement basis from account: 0729400147.58101.00; Item number: 566000
 
Section 3.
 
The terms of the Grant Agreement and the Cooperation Agreement are subject to the review and approval of the City Solicitor as to form and substance.
