Resolution authorizing the Mayor and the Director of the Department of Parks and Recreation to enter into a License and Intellectual Property Agreement with Industrial Arts Collective, LLC, to set forth the parties' mutual understanding of responsibilities and obligations regarding site preparation and installation of artwork along the South Side trail as well as the intellectual property rights in the artwork.

WHEREAS, on February 22, 2001 the City and Industrial Arts Collective LLC (“Artist”) signed contract # 40121 (the “Original Contract”) in the amount of $24,900 for the design, fabrication, and installation of a sculpture (the “Artwork”) that was to be added to the City's art collection and located at the South Side Works development (the “Project”). The Artwork features two 18' x 6' sculptures of steelworkers made from structural steel I beams that were reclaimed from the construction of the Hot Metal Bridge and a separate hot metal ladle (10' x 8'), which was once used in a steel mill; and
WHEREAS, the Artwork commemorates the industrial steel heritage of Pittsburgh and is being manufactured in the former LTV Steel facility in Hazelwood; and
WHEREAS, the parties subsequently entered into a Design Services Agreement dated May 28, 2009, and supplements thereto pursuant to which, the parties agreed, inter alia, upon milestones regarding the design phase, a site selection process, and to enter into a separate agreement to allow installation of the Artwork at the chosen site and to set forth additional terms relating to intellectual property rights involving the Artwork; and
WHEREAS, the parties have determined that the Artwork will be installed along the City's South Side Trail (the “Site”); and
WHEREAS, upon completion of the design phase, the Art Commission granted Final Approval of the Project; and
