Resolution authorizing the Mayor and the Director of the Department of Public Works, on behalf of the City of Pittsburgh, to enter into an agreement or agreements, or the use of existing agreements, with Enel X North America, Inc. ("Enel X"), for energy consultant services in connection with the City’s aggregated purchase of electricity along with other members of the Western Pennsylvania Energy Consortium.

WHEREAS, the City, through its Department of Public Works, issued a request for proposals ("RFP") for a vendor to provide energy consultant services on behalf of the Western Pennsylvania Energy Consortium (WPEC);
WHEREAS, WPEC is comprised of public and private entities who have partnered together in order to aggregate their electricity purchases, optimize savings and maximize their use of renewable energy sources;
WHEREAS, the City’s current electricity supply contract expires in May 2020;
WHEREAS, the City requires enhanced services in its forthcoming electricity supply contract after May 2020 in order to meet its long-term goals of reducing emissions and achieving greater financial savings, for example, the establishment and management of a electricity subaccount holder along with procuring electricity through Power Purchase Agreements;
WHEREAS, the City seeks to issue a Request for Proposals (“RFP”) later in 2019 or early 2020 for an agreement with electricity supplier/subaccount holder to commence in June 2020;
WHEREAS, such services shall assist the City’s efforts in selecting an electricity supplier in order to obtain greater cost-efficiency for its buildings and facilities, as well as expanding its use of renewable energy sources;
WHEREAS, Enel X shall assist the City and WPEC in developing the forthcoming RFP for an electricity supplier/subaccount holder;
WHEREAS, following said RFP and selection of an electricity supplier/subaccount holder, Enel X shall subsequently assist the City and WPEC in oversight of the electricity supplier/subaccount holder to ensure quality control, maximization of savings and increased use of renewable energy sources;
WHEREAS, said agreement(s) shall provide that compensation to Enel X shall be deducted from the payments made by the City to its electricity supplier; and
WHEREAS, other WPEC members shall execute separate agreements with Enel X to pay for said consultant services in prorated volumetric amounts based on their respective usage of electricity;
WHEREAS, prior to the WPEC members’ aggregated purchase of electricity, Enel X and the City will notify and work with the other WPEC members in order to align their respective individual electricity contracts accordingly.
Be it resolved by the Council of the City of Pittsburgh as follows:
Section 1. The Mayor and the Director of the Department of Public Works, are hereby authorized to enter, on behalf of the City of Pittsburgh, into an agreement or agreements, or the use of existing agreements with Enel X for energy consultant services for a term of four years, plus two additional one-year renewal periods at the City’s option.
Said agreement(s) shall provide that costs must be paid to Enel X directly from the payments made by the City to its electricity supplier. Said agreement(s) shall have no not-to-exceed amount or predetermined kilowatt per hour rate. City electricity payments are chargeable to and payable from the following account:

Section 2. Said agreement(s) shall be in a form approved by the City Solicitor.
