Resolution authorizing the Mayor to enter into a Donation Agreement with the Pittsburgh Downtown Partnership to accept the sculpture entitled "Diamond Diamonds" for inclusion in the City's art collection and further authorizing the Mayor and Director of the Department of Public Works to enter into a License and Maintenance Agreement with the Pittsburgh Downtown Partnership and Artist Carin Mincemoyer regarding installation and future maintenance for "Diamond Diamonds."
Body
WHEREAS, the Pittsburgh Downtown Partnership ("PDP") has offered to donate a lighted sculpture entitled "Diamond Diamonds" (the "Sculpture") to the City; and
WHEREAS, the City's Department of City Planning has conducted an in-house review and has recommended acceptance of this gift for the benefit of the public; and
WHEREAS, the City would now like to accept this gift and intends to permit its installation on two City-owned light poles located on Market Street between Market Square and Fifth Avenue in Downtown Pittsburgh (the "Site"); and
WHEREAS, the City's Art Commission has likewise provided its required approval for the Sculpture at the Site; and
WHEREAS, the PDP has offered to fund and oversee the actual installation of the Sculpture, and the PDP and Artist have offered to be responsible for/coordinate future maintenance efforts; and
WHEREAS, the City now wishes to accept the donation of the Sculpture and to enter into a License and Maintenance Agreement with the PDP and the Artist regarding its installation and maintenance.
On behalf of the City, the Mayor is authorized to enter into a Donation Agreement to accept the donation of the "Diamond Diamonds" sculpture from the Pittsburgh Downtown Partnership.
Be it resolved by the Council of the City of Pittsburgh as follows:
Section 1. The Mayor and the Director of the Department of Public Works are hereby authorized to enter into a License and Maintenance Agreement or Agreements with the Pittsburgh Downtown Partnership and Artist Carin Mincemoyer regarding the installation and maintenance of the "Diamond Diamonds" sculpture. The License and Maintenance Agreement(s) shall be for a term of ten years with annual automatic renewals thereafter subject to termination rights of the parties as set forth therein. All Agreements shall be approved by the City Solicitor as to form and substance.
